These Terms of Service ("Terms") govern your access to and use of the Soundwax platform and all related services (collectively, the "Service"), operated by Soundwax, a sole proprietorship (eenmanszaak) established under the laws of the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 87865955 ("Soundwax", "we", "us", "our").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
Soundwax is a music discovery and analytical intelligence platform built for DJs and music professionals. The Service provides:
Soundwax does not host, store, reproduce, or distribute full-length tracks. Soundwax does not accept user-uploaded audio content of any kind.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher, to register for or use the Service. By using the Service, you represent and warrant that you meet this requirement. We reserve the right to request verification and to terminate accounts where eligibility cannot be confirmed.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at info@soundwax.com upon becoming aware of any unauthorized use of your account. Soundwax shall not be liable for any loss or damage arising from your failure to comply with this obligation.
You may not create accounts using automated means or for purposes of misrepresentation or circumventing access restrictions.
The Service is offered on a subscription basis, billed monthly in advance unless otherwise stated at the time of purchase.
Refunds: All subscription fees are non-refundable except where required by mandatory law. If you are a consumer resident in the EU or UK, your statutory cancellation and refund rights under applicable consumer protection law are not affected by this clause.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
All intellectual property rights in the Service — including the platform, its design, software, interface, proprietary algorithms, and all Derived Data (as defined in Section 2) — are owned by or licensed to Soundwax. Derived Data constitutes original analytical output produced independently by Soundwax and does not reproduce or derive from any protected element of the underlying audio works.
Nothing in these Terms transfers any intellectual property rights to you. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal or internal professional purposes only.
The Service may present short audio excerpts ("Previews") for the purpose of music identification and discovery. These Previews are:
Soundwax stores only the low-fidelity preview excerpt described above. Soundwax does not store, reproduce, or make available full-length audio tracks or high-quality audio files in any format. The stored excerpts are retained solely for the functional purpose of in-Service music discovery and are not accessible for download or use outside the Service.
The deliberate technical degradation of the stored audio — combined with the 30-second duration limit — ensures that the excerpts cannot substitute for the commercial exploitation of the underlying work and do not materially affect the rights holder's normal market for the work, consistent with the three-step test under Article 5(5) of the EU Copyright Directive (2001/29/EC).
All analytical metadata made available through the Service — including but not limited to BPM, musical key, energy, danceability, tonal profile, and compatibility scores — is the result of Soundwax's own independent computational analysis. This Derived Data is original output generated by Soundwax's proprietary algorithms. It does not reproduce any protected element of an audio work, does not substitute for the commercial exploitation of any underlying work, and constitutes lawful intellectual output owned exclusively by Soundwax.
Soundwax respects the rights of copyright holders. If you believe that any content accessible through the Service infringes your copyright or other intellectual property rights, please send a written notice to info@soundwax.com including:
We will investigate and take appropriate action, including removal or disabling of access, within a reasonable time.
Soundwax does not claim ownership of any third-party musical works. Nothing in these Terms grants you any licence to use, reproduce, distribute, or exploit any underlying musical work outside the Service.
The Service aggregates data from third-party sources including music distributors, streaming platforms, and public databases. Soundwax does not guarantee the accuracy, completeness, legality, or continued availability of such third-party data. We are not liable for errors, omissions, or changes in third-party content.
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Soundwax disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Where mandatory consumer protection law applies in your jurisdiction, your statutory rights are not affected by this disclaimer.
To the maximum extent permitted by applicable law, Soundwax's total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
Soundwax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under mandatory law.
You agree to indemnify, defend, and hold harmless Soundwax and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any content or data you provide to the Service.
We may suspend or terminate your access to the Service at our discretion, with or without notice, if we reasonably believe you have breached these Terms or if required by applicable law. Upon termination, your licence to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 8, 10, 11, 12, and 14) shall do so.
You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period.
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands, subject to your rights as a consumer under the mandatory law of your country of residence where applicable.
If you are a consumer in the EU, you may also refer disputes to the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We reserve the right to update these Terms at any time. Where changes are material, we will notify you by email or via a prominent notice on the Service at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and cancel your subscription.
